1. Introduction

Xllent Retailers, based in Chhatrapati Sambhajinagar, Maharashtra, is an FMCG distribution company operating since 2016. The company deals in a wide range of fast-moving consumer goods (FMCG).

These Terms and Conditions apply to all Super Stockists, distributors, vendors, clients, and business associates affiliated with Xllent Retailers.


2. Product Responsibility

Xllent Retailers distributes products under various brand names. All trademarks and brand rights belong to their respective owners. The company is responsible only for the distribution and supply of products and not for product performance, packaging, or brand claims made by third-party manufacturers.


3. Order & Payment Policy

  • Orders will be accepted only after the signing of an official agreement.

  • Products will be dispatched within 6–7 working days after full payment confirmation.

  • Accepted payment methods: Bank Transfer, UPI, or Cheque (subject to clearance).

  • Once confirmed, orders cannot be cancelled without written approval from the company.


4. Delivery & Logistics

  • Orders are shipped using third-party logistics services.

  • Estimated delivery time may vary depending on location, transport availability, or external conditions.

  • Any shortage, damage, or defect must be reported within 48 hours of delivery with supporting photos or video.

  • Xllent Retailers is not liable for delays caused by third-party logistics providers.


5. Return & Replacement Policy

  • Products that are expired at the time of delivery, or are found to be damaged or defective (unopened & unused), are eligible for return or replacement.

  • Returns must be reported within 7 days, and accepted only after physical inspection and management approval.

  • Super Stockists are allowed to return unsold inventory only if approved by the company.

  • Return requests must include: product photo, batch number, invoice details.


6. Pricing & Resale Freedom

  • Products are sold to Super Stockists at pre-approved standard company prices.

  • Once purchased, the resale pricing, discounts, or selling platform (online/offline) is the responsibility of the Super Stockist.

  • The company does not interfere with market pricing or local selling strategy.


7. SKU Selection & Product Trials

  • For first purchase, the company suggests fast-moving SKUs (products).

  • A 2-month performance trial period is allowed to observe product movement.

  • If certain products do not perform, the company may accept them for return.

  • In second purchase, Super Stockists can choose only the SKUs that moved well — no obligation to reorder slow-moving items.


8. Territory & Market Conduct

  • Super Stockists are assigned exclusive or semi-exclusive territories.

  • However, once purchased, there is no restriction on how products are sold within legal limits.

  • Any unauthorized marketing, misrepresentation, or use of the Xllent Retailers name without permission will be treated as a violation.


9. Promotional Support

  • Promotional material and support may be provided to Super Stockists based on performance and potential.

  • All promotional resources must be approved by the Xllent marketing team before release or use.


10. Deposit Terms

  • A refundable deposit of ₹1,00,000 is mandatory for Super Stockists (not for distributors).

  • This deposit will be returned after 1 year + 90 days, only if:

    • No pending dues or policy violations exist.

    • At least ₹5,00,000 worth of stock has been purchased.

    • Out of ₹5,00,000, minimum ₹4,00,000 worth of products must already be delivered.

  • Deposits are returned only via official bank transfer; no cash transactions are permitted.

  • The company reserves the right to withhold deposit in case of misconduct, non-compliance, or brand damage.


11. Confidentiality

  • All pricing, strategies, distributor data, and policies are confidential.

  • Partners must not disclose company information to third parties, competitors, or on public platforms.


12. Dispute & Jurisdiction

  • All legal matters shall be governed under the jurisdiction of Chhatrapati Sambhajinagar (Aurangabad), Maharashtra.

  • In case of conflict, both parties agree to first seek amicable resolution, failing which legal arbitration will be initiated.


13. Termination Clause

Xllent Retailers may terminate business ties without notice in the case of:

  • Fraud, misrepresentation, or breach of agreement.

  • Repeated non-payment or delayed payment.

  • Misuse of brand name or harm to brand image.

In normal scenarios, either party must provide 15 days’ written notice prior to business closure. Upon termination, stock is not returnable unless agreed in writing.


14. Updates to Terms

These terms may be revised periodically. Any changes will be communicated in writing and will be effective from the mentioned date.
